DRYDEN SOCCER CLUB
BY-LAWS OF THE:
(1) Dryden Soccer Club (Herein after referred to as the Club)

PREAMBLE
The objective of this organization is to promote the game of soccer through the establishment of organized team play, the development of skills at all levels and ages and to install team spirit, fellowship and sportsmanship.
*** ARTICLE I – CLUB MEMBERSHIP ***
Section 1. Membership in the Club is established and defined as “the interest in and support of the game of soccer” and a complete understanding of the club’s preamble.
Section 2. Membership is open to anyone who has paid an annual membership fee as determined and announced by the governing body of the Club, not later than 1 September, annually.
Section 3. Membership in the Club is open to anyone, strictly without regard to RACE, COLOR, CREED, SEX, AGE or NATIONAL ORIGIN and no rules or regulations will be made in conflict with these policies.
Section 4. Anyone who, through his or her actions, causes or creates an incident or atmosphere relative to section (3), above, shall be immediately suspended from the Club. Any person(s) suspended for cause shall have thirty (30) days to formally reply by letter to the Club president for rebuttal and or explanation. A formal hearing will be conducted at the first scheduled meeting after receipt of written reply. It is established that a binding decision will be rendered at that meeting.
*** ARTICLE II – OFFICERS ***
Section 1. The officers of the Club will consist of the Board of Directors which will consist of current paid members who will be nominated for and voted for by current Club members. Tenure for each Board position is one year. Nominations will be submitted to the Board no later than the first Monday of June, annually. There shall be a posting of all eligible nominees no later than the second Monday of June, annually. An election shall be conducted on the fourth Monday of June, annually. Each position will be filled by dully elected eligible Club members and will assume their post on 1 July, annually. No position shall be held by the same person for more than three consecutive terms. The following positions are designated as Board of Directors for the Dryden Soccer Club:
a) President – Executive Board Member
b) Vice-President – Executive Board Member
c) Treasurer – Executive Board Member
d) Secretary – Executive Board Member
e) Audit Committee Chairperson (Chair, + “i” & “k”)
f) Indoor Tournament Coordinator
g) Coach and Referee
h) Membership/Nominating Chairperson
i) Uniform and Publicity Chairperson
j) Facility/Field Coordinator
k) Fund Raiser and USYA Insurance Chairperson
l) Age Group Chairperson for each group as per United States Youth Association rules and guidelines
Board of Director positions e through l, above, will create or revise a “Description of Responsibilities” for that position and submit it, for approval, to the Executive Board, not later than 1 August, annually. The “Description of Responsibilities” will be attached as ADDENDUM 2 to these By-Laws no later than 1 September, annually.
Section 2. A General meeting will be held on the fourth Monday of June, annually. The election of the Board of Directors will be held at that meeting. Every eligible member of the Club can be nominated and elected for post. Every eligible member can cast one written ballot for each position. In the event of a tie, a special election will be convened on the following Monday by the newly elected Board members, sans the President.
Section 3. All elected officers shall serve for the good of the membership. They shall perform their duties in accordance with the approved “Description of Responsibilities” found at ADDENDUM 2 and the By-Laws of the Club. Further, the Board will represent the Club in accordance with the Club’s “Code of Conduct”, Addendum 1.
Section 4. ADDENDUM 3 to these By-Laws
will establish the lineage of the Board of Directors to the Executive Board.
*** ARTICLE III – MEETINGS ***
Section 1. The regular meetings of the Club will be held on the third Wednesday of each calendar month from September through June inclusive unless otherwise agreed upon by a majority of officers.
Section 2. The Board of Directors will meet no later than six (6) times during the year. Any officer who is absent for more than three meetings in succession will be replaced by special appointment of the current Board from the general membership for the duration of tenure.
Section 3. Special meetings of the Board of Directors may be called by the President at anytime necessary, with at least one (1) week notice to each officer. The Secretary will notify each office by phone or mail of the special meeting time, place and reason for the special meeting.
Section 4. No less than seven officers in attendance shall constitute the convening of a special meeting.
Section 5. The Executive Board (President, Vice-President, Treasurer and Secretary) will have the burden of executive supervision of the affairs of the Club. The Executive Board will conduct the opening and closing of the meetings, establish the hour and place of meetings, make recommendations to the Club’s officers and shall perform such other duties as are specified by these By-Laws. The
Board shall be subject to the orders of the Club and none of its acts shall conflict with action taken by the Club or these By-Laws.
*** ARTICLE IV – PARLIAMENTARY AUTHORITY ***
Section 1. All meetings will be conducted in accordance with the rules contained in the current edition of Robert’s Rules of Order which will be an additional duty and encumbrance of the Secretary of the Club.
*** ARTICLE V – AMENDMENT OF BY-LAWS ***
Section 1. These By-Laws may be amended at any regular meeting of the Dryden Soccer Club with a two-thirds majority vote, provided that the amendment has been authorized in writing at the previous regular meeting.
Section 2. It is the intent of the founders of the Dryden Soccer Club that the organization serve the general membership. No amendment shall be submitted which will render the Club neither unmanageable nor unduly encumbered with rules, regulations or restrictions.
